General Terms and Conditions

General Terms and Conditions (GTCs)

Preamble

The following General Terms and Conditions (GTC) govern the contractual relationships between AON GmbH, Germany (hereinafter "AON") and its members and partners. AON's services and products are aimed exclusively at commercial customers based outside Germany, Austria or Switzerland. All prices are exclusive of the applicable statutory VAT. The GTC apply to all contracts concluded between AON and its members and partners. AON is not liable for the use of the services by unauthorized third parties.

I. Members

 

1. Membership

  1. Membership gives members access to the services and products described on the website www.aon-international.com.

  2. The prerequisite for membership is the acceptance of these terms and conditions, the timely payment of membership fees and commercial activity outside Germany, Austria and Switzerland.

  3. AON reserves the right to reject membership applications without giving reasons.

  4. Membership begins with payment of the membership fee and activation by AON.

  5. Membership is personal and non-transferable unless AON gives its express written consent.

2. Rights of Use

 

  1. Members receive a non-transferable, time-limited right to use the materials, training courses and other services provided.

  2. Members are entitled to use the content and materials provided:
    a) to use for your own learning purposes,
    b) to use in your own trainings, seminars and workshops,
    c) to their own customers, provided that such use is in accordance with applicable laws.

  3. Modifications, reproductions or publications of the contents outside of the aforementioned purposes are only permitted with the prior written consent of AON.

  4. Members are not authorized to use the content and materials provided:
    a) to market them as independent products or services on their own account,
    b) to distribute publicly (e.g. social media, websites, etc.)
    c) to persons who use them as trainers, consultants, coaches, teachers or lecturers without themselves being members of AON.

  5. AON reserves the right to take action against violations of these Terms of Use, including blocking access and seeking damages.

 

 

3. Prices and payment terms

 

  1. All prices are exclusive of applicable VAT.

  2. Invoicing will be done electronically unless a paper invoice is expressly requested.

  3. Payments must be made within 14 calendar days of the invoice date without deduction.

  4. In case of default of payment, AON is entitled:
    a) to charge default interest at the statutory rate,
    b) to charge a processing fee of €10 per reminder,
    c) to temporarily or permanently block access to the services,
    d) to take further legal action.

4. Liability

  1. AON is only liable for intent and gross negligence. In the case of slightly negligent breach of essential contractual obligations, liability is limited to foreseeable, contract-typical damage.

  2. AON is not liable for indirect damages, lost profits or other financial losses suffered by members.

  3. Members are responsible for the proper use of the services and materials provided. AON assumes no liability for damages resulting from improper use.

 

5. Contract term and termination

 

  1. The minimum term is 1 year. Membership is generally concluded for an indefinite period.

  2. Members can terminate their membership with 30 days' notice up until the end of the membership year. Termination must be made in writing.

  3. AON reserves the right to terminate membership without notice if:
    a) the member violates essential contractual provisions,
    b) the payment obligations are not fulfilled.

 

II. Partner

 

1. General


1.1 This agreement regulates the cooperation between the [name of the Academy] (hereinafter "the Academy") and you as a sales partner (hereinafter "Partner") for the purpose of arranging memberships at the Academy.
1.2 The business relationship is concluded exclusively on the basis of these terms and conditions. Changes or deviations require the written consent of both parties.

 

2. Registration as a partner


2.1 To become a Distributor, you must register on the Academy website.
2.2 After successful registration, you will receive access to your individual partner link and other marketing materials.
2.3 Registration is reserved exclusively for adults or companies.

3. Partnership

 

  1. AON partners are entitled to recruit new members and receive a commission for doing so.

  2. Partners agree to represent the AON brand and content carefully and in accordance with the guidelines provided.
     

4. Rights of the partners

 

  1. Partners have the right:
    a) to recruit new members for AON,
    b) to use the advertising materials and information provided for member recruitment,
    c) to receive a commission for successfully recruited members, provided that they have paid their membership fees in full.

  2. Partners may use the AON name and logo in their advertising activities, provided that this is done in accordance with the guidelines provided by AON.

  3. Partners are entitled to support from AON to effectively conduct member recruitment.

5. Duties of the partners

  1. Partners are obliged:
    a) to provide only correct and complete information about AON and its services,
    b) comply with the materials and guidelines provided by AON,
    c) not to engage in misleading or unlawful advertising measures,
    d) to treat all personal data collected in the context of member recruitment as confidential and to comply with applicable data protection laws.

  2. Partners may not enter into contracts or make binding commitments on behalf of AON unless they are expressly authorized to do so in writing.

  3. Partners are obliged to inform AON immediately of any complaints or legal problems related to member recruitment.

6 . Commission Agreement

 

  1. The amount of the commission depends on the applicable conditions set out on the website www.aon-international.com.

  2. The commission will only be paid if the referred member has paid the membership fees in full.

  3. The commission is paid out monthly and is subject to compliance with the contractual obligations by the partner.

  4. The commission is paid out via the Stripe payment system. To do this, the partner must create a Stripe account and provide their bank details.

  5. All payouts are made in US dollars. Any bank fees or Stripe transaction fees are borne by the partner.

  6. Payments are made monthly within 15 days of the end of each calendar month in which a commission was earned.

  7. Commissions due must be claimed in writing within six months. After this period, the claims expire. 5. Tax responsibility.

7. Tax responsibility

  1. The partner is solely responsible for the proper taxation of his income from cooperation with the Academy in the USA.

  2. Commissions are paid out via the Stripe payment system. Stripe is responsible for reporting the distributor's income to the IRS if the legal thresholds are met (e.g., $600 per year, Form 1099-K).

  3. The Reseller is responsible for ensuring that all required tax information (e.g. W-9) is on file with Stripe.

  4. The Academy assumes no liability for tax obligations arising from a missing or incomplete deposit of tax information by the sales partner.

  5. The Partner undertakes to provide the Academy with all necessary information to meet the tax requirements.

  6. The Academy reserves the right to withhold payments until all tax-relevant information (e.g. Form W-9) has been provided by the partner.

8. Use of the partner link

  1. The partner receives an individual referral link, which may only be used to arrange memberships.

  2. The partner is obliged to use the Academy's marketing materials in accordance with the specifications and not to make any misleading statements.

  3. Any misuse of the affiliate link will result in immediate termination of the partnership and the loss of any outstanding commission payments.
     

9. Liability

  1. Partners act as independent entrepreneurs and bear full responsibility for their actions.

  2. AON is not liable for any statements, promises or actions of the partners unless they have been expressly approved in writing.

  3. Violations of the agreement by the partners may lead to immediate termination of the partnership.

10. Termination of the partnership

  1. The partnership can be terminated by either party with 30 days' notice to the end of the month. Termination must be in writing.

  2. Upon termination of the partnership, all commission claims from current membership contracts will end.

  3. AON reserves the right to terminate the partnership without notice if:
    a) the partner violates essential provisions of the Partner Agreement,
    b) the partner’s conduct damages AON’s reputation.

 

III. Final provisions

 

1. Applicable law and place of jurisdiction

 

  1. The law of the Federal Republic of Germany applies, excluding the UN Convention on Contracts for the International Sale of Goods (CISG).

  2. The place of jurisdiction for all disputes is the registered office of AON in Germany.

 

2. Severability Clause

Should individual provisions of these General Terms and Conditions be or become invalid, the validity of the remaining provisions shall remain unaffected. The invalid provision shall be replaced by a provision that comes closest to the economic purpose of the invalid provision.

3. Changes to the Terms and Conditions

AON reserves the right to change these terms and conditions at any time. Members and partners will be informed in writing or electronically at least four weeks before the changes come into effect. If the member or partner does not object to the changed conditions within two weeks, the changed terms and conditions are deemed to have been accepted.

 

4. Data protection


Personal data is processed in accordance with AON’s privacy policy.

5. Force majeure


AON is not liable for delays or failures in performance due to force majeure.
